• Data Engineering: Data pipeline development, ETL/ELT processes, data lake and warehouse architecture, and real-time streaming solutions
• Advanced Analytics & BI: Business intelligence dashboards, reporting solutions, and data visualization
• Data Science & ML: Machine learning models, predictive analytics, and AI-powered solutions
• Data Governance: Data quality management, master data management, compliance frameworks, and data catalog implementation

Specific service terms may be outlined in separate agreements or statements of work.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• Provide accurate and complete information when requested

If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

4. User Accounts

Some features of our Services may require you to create an account. When creating an account, you agree to:

Data Solutions Work Product

For custom data solutions and implementations, ownership and licensing of deliverables will be specified in the applicable Statement of Work or Master Services Agreement.

7. Payment Terms

Payment terms for our Services are as follows:

Data Services Projects

• Fixed-price projects may require milestone-based payments
• Time and materials engagements are billed monthly
• Payment is due within 30 days of invoice date (Net 30)

Managed Services & Support

• Monthly retainer fees are billed in advance
• A deposit may be required for new engagements
• Support hours beyond retainer are billed at agreed rates

Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law.

8. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement
• Warranties that our Services will be uninterrupted or error-free

While we strive to provide high-quality data services and consulting, we do not guarantee specific business outcomes or results from data implementations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUSTUSTECH SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Any damages arising from your use or inability to use our Services

Our total liability for any claim arising out of these Terms shall not exceed the greater of (a) the fees paid by you to us in the twelve months preceding the claim, or (b) $1,000.

10. Indemnification

You agree to indemnify, defend, and hold harmless ASTUS Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content or information you submit through our Services

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our sole discretion

Upon termination, your right to use our Services will cease immediately. Provisions that by their nature should survive termination will remain in effect.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our Services shall be resolved through:

• Good faith negotiations between the parties
• If unresolved, binding arbitration in Houston, Texas
• Arbitration shall be conducted under the rules of the American Arbitration Association

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on our website
• Updating the "Last updated" date
• Sending email notification for significant changes
